1. These terms

voicy is a service run by Intellecsys, Inc. (“Intellecsys”, “we”, “us”). It lets you create voice agents by describing them, talk to them in your browser, share them, connect them to phone lines and campaigns, and use them through our API (together, the “Service”).

These terms are an agreement between you and Intellecsys. By signing in or otherwise using the Service you agree to them. If you use the Service for a company, you agree for that company and confirm you may bind it. If you don’t agree, don’t use the Service.

2. Accounts and access

3. Acceptable use

You may use the Service only lawfully and as these terms allow. In particular, you will not:

You are responsible for how your agents behave with the people they talk to, and for the descriptions, instructions, documents, tools and phone numbers you give or connect to them.

4. No copying, reverse engineering or scraping

The Service’s software — including the pages, scripts, stylesheets and designs your browser receives to show it — is licensed to you only to use the Service, not sold. Unless the law expressly allows it despite this term, you will not:

What we deliver to your browser carries a copyright notice and marks that identify the account it was delivered to. We may use them to trace copies and to enforce these terms.

5. Who owns what

Ours. Intellecsys and its licensors own the Service: its software, interface, designs, the voicy name and logo, voice catalog presentation, documentation, and everything we build to run it. These terms give you no rights in them beyond using the Service as described here.

Yours. You keep the rights you have in what you give the Service — descriptions, custom instructions, documents, and your agents’ settings (“Your Content”). You give us a worldwide, non-exclusive, royalty-free license to host, copy, process and transmit Your Content only as needed to run, secure and improve the Service for you.

Agent instructions. From what you tell it, the Service writes the instructions your agents follow, and it adds its own platform rules around every conversation. Those instructions and rules are part of the Service: we don’t show them, and they aren’t Your Content.

Feedback. If you send us ideas or suggestions, we may use them without any obligation to you.

6. Your content and data

7. Billing, credits and refunds

8. Changes and availability

voicy is in early access and changes often. We may add, change or remove features, voices, limits and prices. We aim to keep it running, but we don’t promise it will be uninterrupted or error-free, or that a voice line will always be free when you want one.

9. Disclaimers

To the extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement.

10. Limits of liability

To the extent the law allows, Intellecsys will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for all claims about the Service is limited to the greater of the amounts you paid us in the 12 months before the claim and US $100.

You will defend and indemnify Intellecsys against claims by others arising from Your Content, your agents’ conversations, or your breach of these terms.

11. Suspension and termination

12. Governing law and changes

These terms are governed by the laws of [governing law and venue — to be decided], without regard to its conflict-of-laws rules. Dispute resolution (courts or arbitration).

We may update these terms. If a change is material, we will tell you in the Service or by email before it takes effect; continuing to use the Service after that means you accept the new terms.
